CALGARY, ALBERTA, CANADA – Verge Technologies (“Verge Ag”), the leading provider of operations and path planning software for production agriculture, today announced it has entered into a strategic combination with Tecgraf Tecnologia Em Computacao Grafica Ltda. (“Tecgraf”). Tecgraf is the leading developer of computer aided design solutions for agricultural applications with customers in 12 countries utilizing its AgroCAD® software on approximately 10 million acres of farmland.  This transaction brings the powerful geoprocessing and path planning features of AgroCAD® into Launch Pad, Verge Ag’s intuitive, web-based farm operations planning interface. 
 
Bringing Verge Ag and Tecgraf together positions the company as the leading provider of operations and path planning software for production agriculture with its user-friendly, intuitive operational planning and coordination software, Launch Pad.  Launch Pad is one of the only software tools available that lets a user plan, simulate and optimize their on-farm operations in one simple window. A user can easily consider and balance operating considerations to minimize field operating time, number of turns or distance, and soil erosion potential while managing year over year traffic patterns, and implications of one operation on the efficiency of another.  With the transaction, Launch Pad will also provide curved-path alternatives, guess row optimization and turn automation across all major agriculture equipment and guidance manufacturers.

In connection with the transaction, the shareholders of Tecgraf will become shareholders of Verge Ag and the Tecgraf team will be the exclusive providers of Launch Pad in Brazil.  The AgroCAD® desktop software will continue to be supported and existing AgroCAD® customers will continue to have access to its tools.  The technical teams of both Verge Ag and Tecgraf have already commenced development work to integrate the highest priority features from AgroCAD® into Launch Pad and will continue to add additional features to Launch Pad over time.
